These Terms of Service ("Terms") form a binding agreement between LI ZEPENG ("we", "us", "our") and you ("you" or "your") governing your use of the ClosetLens browser extension and website at closetlens.app (the "Service"). By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service Is

ClosetLens is an independent Chrome extension that uses artificial intelligence to generate suggested listing text — titles, descriptions, and platform-specific keywords — for items you sell on Poshmark, Depop, and eBay. The Service provides suggestions you can copy into your own listings. ClosetLens does not create, post, publish, submit, edit, or manage any listing on your behalf, and it does not automate activity on any marketplace. You are solely responsible for reviewing every suggestion and for all listings you create.

2. Independence From Marketplaces

Poshmark®, Depop®, and eBay® are trademarks of their respective owners. ClosetLens is an independent third-party product and is not affiliated with, associated with, endorsed by, sponsored by, or connected to Poshmark, Depop, eBay, or their respective owners in any official capacity. All trademarks, product names, and company names are the property of their respective owners. Your use of each marketplace remains subject to that marketplace's own terms and policies.

3. No Accounts

ClosetLens does not use accounts, passwords, or sign-in credentials. You do not register an account to use the Service, and there are no credentials for you to protect. The free features are available without an account; paid features are activated through the subscription records Creem provides to us. If you choose BYOK, your OpenAI API key is stored only in your own browser's local storage (chrome.storage.local), is never sent to us, and can be deleted by you at any time in the Extension settings. You are responsible for keeping your own device, browser, and API key secure.

4. Subscriptions, Billing, and Auto-Renewal

4.1 Merchant of Record. Paid subscriptions are sold and processed by Creem (Armitage Labs OÜ) as the Merchant of Record. Your card statement and receipt will identify Creem. Payment processing is subject to Creem's own terms.

4.2 Plans. The Service offers a Free plan and paid monthly subscription plans (currently Starter at US$6.99/month and Pro at US$14.99/month), as described on our pricing page. Plan features and generation allowances may be updated for future billing periods with notice. Features not yet launched (such as bulk generation) are marked "Soon" and cannot be purchased until released.

4.3 Auto-renewal. Subscriptions are billed monthly in advance and automatically renew at the end of each billing period using your saved payment method, unless you cancel before the renewal date. You authorize Creem to charge your payment method for each renewal.

4.4 Cancellation. You can cancel at any time:

  • Directly from the Service: use the Manage Subscription option in the Extension settings, which opens your Creem customer portal; or
  • Through the link in your Creem payment receipt email.

Cancellation stops future renewals. Your paid access continues until the end of the current billing period; we do not typically prorate partial periods, except as required by law or stated in our Refund Policy.

4.5 Failed payments. If a renewal payment fails, we may suspend or downgrade access after a reasonable retry/grace period.

4.6 Taxes. Prices may include or be subject to taxes calculated and collected by Creem based on your location.

5. Refunds

Refunds are governed by our Refund Policy. Because payments are processed by Creem as Merchant of Record, approved refunds are issued through Creem.

6. Acceptable Use

You agree not to:

  • use the Service to create unlawful, fraudulent, infringing, deceptive, or counterfeit listings;
  • upload content you do not have the rights to, or photos depicting illegal, sexually explicit, or otherwise prohibited goods;
  • reverse engineer, scrape, resell, sublicense, or commercially exploit the Service outside your subscription;
  • attempt to bypass plan limits, interfere with the Service, overload infrastructure, or circumvent security or metering systems;
  • use the Service to violate any marketplace's terms of service or applicable law.

You remain solely responsible for the legality and accuracy of your listings and for complying with the rules of Poshmark, Depop, and eBay.

7. AI-Generated Content

Listing suggestions are generated using third-party artificial intelligence. AI output may be inaccurate, incomplete, or repetitive, and may incorrectly identify brand, condition, measurements, or other item details. All AI-generated text is provided "AS IS" and "AS AVAILABLE", for informational assistance only, without warranties of any kind. You must verify every suggestion (including brand, condition, measurements, and flaws) before publishing. You are responsible for the final content of your listings and for any claims you make to buyers. We do not guarantee sales, search ranking, or any business outcome.

8. Your Content

You retain ownership of the photos and information you select and the final listings you publish. Because the Service is a pure front-end extension and we operate no application server, we never receive or store your photos; they are transmitted directly from your browser to OpenAI for generation (or, in BYOK mode, directly to OpenAI using your own key). You authorize this direct transmission to OpenAI and grant a limited, non-exclusive, royalty-free license for your content to be processed solely to generate your suggestions. OpenAI processes the images and prompts under its own terms and privacy policy (https://openai.com/policies/privacy-policy).

9. Intellectual Property

The Service, including its software, design, and branding, is owned by LI ZEPENG and protected by intellectual property laws. This agreement does not transfer ownership of the Service to you.

10. Third-Party Services

The Service relies on third-party providers, specifically OpenAI for AI generation (which receives your photos and prompts directly from your browser) and Creem (Armitage Labs OÜ) as Merchant of Record for payments, and it interoperates with third-party marketplaces we do not control. The support mailbox at support@closetlens.app is hosted by Zoho. We are not responsible for the availability, policies, or actions of these third parties.

11. Disclaimers and Limitation of Liability

EXCEPT AS REQUIRED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LI ZEPENG BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR US$50, WHICHEVER IS GREATER.

12. Indemnity

You agree to indemnify us against claims arising from your use of the Service, your violation of these Terms, your listings, or your infringement of any third-party rights.

13. Changes to the Service and Terms

We may modify, suspend, or discontinue features and may update these Terms. Continued use after changes constitutes acceptance of the updated Terms.

14. Governing Law and Contact
